CONSTITUTION AND STATUTES 2023

WORLD SALSA FEDERATION, INC. 
Accepted by the WSF Extra Ordinary General Meeting 
Held August 15, 2001 in Miami, Florida, and approved August 15, 2001 by the WSF President 
CHAPTER 1:  CONSTITUTION, AIMS AND OBJECTS. 
Article 1   NAME OF ORGANIZATION 1.1

The name of the association is the World Salsa Federation.  For a short description the letters WSF should be used.

1.2      The WSF was founded in 2001. 
Article 2   AIMS AND OBJECTS FOR THE WSF ARE: 

2.1 To promote, encourage, publicize and facilitate the art of Salsa dancing including leisure and competitive styles, by giving demonstrations, holding competitions and exhibitions, by organizing or sponsoring lectures, lessons and examinations, awarding certificates, prizes and scholarships and doing all such matters and things as will conduce to raising or improving the standard of Salsa dancing, including leisure and competitive styles, and by promoting uniformity of instruction in the basic and advanced steps of Salsa through a uniform Bronze, Silver, and Gold Syllabus.

2.2 To encourage, foster and increase public interest in the art of Salsa dancing. 
2.3 To formulate and secure national recognition and adoption of official national rules and Syllabus of Competitive Salsa dancing, and to encourage the promotion and proper conduct of competition, and the recognition of established championships.

2.4 To do all such things as are likely to promote and improve the standard of Salsa dancing.   To encourage the general public to obtain instruction only from qualified teachers, and to do all such things as are likely to promote and improve the standard of conduce to raising or maintaining the professional status and ethical standards of all persons engaged or seeking to be engaged in the teaching of Salsa dancing. 
2.5 To grant permission for approved National WSF member organizations to organize, world, continental and area/regional continental championships in Salsa that are controlled by the WSF, and such other titles as may from time to time be determined by the WSF.

2.6 To formulate rules to govern such championships and other titles in accordance with the rules of the WSF and/or other rules recognized by the WSF, which are not incompatible with these objects, and which shall include the governance of the conduct of member organizations and persons or bodies recognized by and/or is registered with the WSF.

2.7 To promote, facilitate and encourage exchanges of information on all matters pertaining to Salsa dancing. 2.8 To formulate promulgate and oversee a uniform method of judging and marking in all Salsa competitions and championships throughout the world. 

2.9 To acquire the copyrights and other rights, licenses and privileges of any sort likely to be conducive to the objects of the WSF and to encourage, assist and employ persons to write, compose or invent dance steps, music, musical arrangements and scripts and remunerate such person or persons, and to print, publish or cause to be printed or published, books, pamphlets, newspapers, journals, circularize, instructional handbooks and/or video tapes, dances steps, dance arrangements, music and musical scores and arrangements and literature of any kind likely to further the objects of the WSF and its members; and to sell, distribute and deal with any matter so printed or recorded as the WSF may think fit and to grant licenses or rights in respect of any property of the WSF and to enter into agreements with persons, firms or societies in connection with the same. 2.10 To secure the recognition of competitions and other events that are recognized by the WSF. 

Article 3   POLITICAL DECLARATION 3.1    The WSF is a non-political and a for-profit making association. 
Article 4   OFFICIAL LANGUAGE AND BUSINESS YEAR 4.1 The official language of WSF is English. 4.2 The business and financial year of WSF is the full calendar year 
CHAPTER 2 MEMBERSHIP. 
Article 5   MEMBERS OF THE WSF

5.1 The members of the WSF shall be unincorporated bodies, bodies corporate and any other person, corporate body or unincorporated body whose name or names shall be entered in the register of members of the WSF. 
Article 6   ELECTION OF NEW MEMBERS 6.1     Any Organization who seeks membership of the WSF shall apply in writing on a form prescribed by the WSF which application shall be considered by the 
WSF.

Article 7   EXPULSIONS OF MEMBERS

7.1 A member may be expelled by resolution carried by the votes of not less than two thirds of the stockholders present and voting at an Annual or Special General Meeting of the WSF. The WSF is required to give explanations for such expulsion and shall have absolute discretion as to whether or not to expel any member. A member shall cease to be a member at the end of the meeting at which the resolution to expel it was carried. 7.2 No member who has been expelled from membership shall be readmitted to membership except by resolution carried by the votes of not less than two thirds of the stockholders present and voting at an Annual or Special General Meeting of the WSF. No members who have been expelled may be readmitted. 

Article 8   CESSATION OF MEMBERSHIP

8.1 Membership of the WSF shall cease if in relation to a member:

8.1.1 it, being an individual, dies; 8.1.2 it, being a body corporate, ceases to be a body corporate;

8.1.3 it, being an unincorporated body is dissolved or ceases to exist;

8.1.4 it is expelled in accordance with article 8;

8.1.5 it fails to pay any fee monies due in accordance with article 10

Article 9   FEES

9.1 All members shall pay a set sum as the WSF may from time to time prescribe.

9.2 Members that can prove hardship to the satisfaction of the President may apply to the President for a reduction in the amount of the fee monies due from them. The President shall have absolute discretion as to whether or not to approve a reduction in fees. 
CHAPTER 3   GENERAL MEETINGS, STANDING ORDERS, AND 
COUNCIL MINUTES. 
Article 10   GENERAL MEETINGS

10.1 The WSF shall meet at least once a year (“the Annual WSF General Meeting”).  This meeting will transpire no earlier than the 1st of April and not later than the 31st of August. Not more than 15 month shall elapse between the date of one Annual Council Meeting and that of the next. 

10.2 All general meetings other than Annual WSF General Meetings shall be called Special General Meetings. 
Article 11    SPECIAL GENERAL MEETING called by the President 
11.1  The President may at any time call a Special General 
Meeting of the WSF to deal with any matter which it at its absolute discretion considers would be inappropriate to delay until the next Annual WSF Meeting, and the Executive Secretary shall be instructed to call such a meeting to be held in connection with the nearest coming World championship competition recognized by the WSF. 
Article 12   MINUTES OF WSF

12.1 Minutes of every WSF meeting and of every Committee meeting and of every meeting of the Presidium shall be kept under the responsibility of the Executive secretary. 

Article 13   NOTICES

13.1 Any notice to be given to or by any person pursuant to the articles shall be in writing except that a notice calling a meeting of the President need not be in writing.

13.2 The WSF may give any notice to a member either personally or by sending it by email or in a prepaid letter addressed to the member at his registered address or by leaving it at his address.

13.3 A notice shall be deemed to be given at the expiration of five clear days after the letter was posted. 
CHAPTER 4 COMMITTEES OF THE WSF AND TERMS OF REFERENCE 
Article 14 COMMITTEES 

14.1 The WSF may constitute Committees and may delegate any of Its powers to any such Committee and/or may authorize the Committee to perform such functions, as the WSF considers fit. The powers and/or functions of such Committees, the conduct of proceedings of any such Committee and all other terms upon which any such Committee is appointed shall be recorded in writing as soon is practicable after the meeting of the WSF at which such appointment is made and shall be referred to in these articles as the “terms of reference” of that Committee.

14.2 Any Committee (or sub-Committee of such Committee) constituted pursuant to this article shall have only those powers and functions contained in the terms of reference for that Committee and its proceedings and conduct shall be governed in all respects by such terms of reference. 
CHAPTER 5 THE PRESIDENT, MANAGEMENT AND REPRESENTATION 
Article 15    DUTIES OF THE PRESIDENT

15.1 The President shall preside as Chairman over WSF meetings and shall be an ex-officio member of all Committees and sub-Committees. 
The President will preside as Chairman over Committee meetings. 

Article 16    THE DUTIES OF THE VICE PRESIDENTS

16.1 The Vice Presidents shall be responsible for various departments as directed by the President such as; Judges, Technical Directors, Rules and Regulations, Publicity and Newsletters, Sponsoring, Competitions. 
Article 31 THE DUTIES OF THE EXECUTIVE SECRETARY

16.2 The Executive Secretary shall summon and attend all meetings of the WSF and of any Committees and keep the minutes.  In the event that the Executive Secretary is excused to be absent from any WSF or Committee meeting, another person shall be appointed to take the minutes. 
Article 17   MANAGEMENT AND REPRESENTATION

17.1 The President, the Senior Vice President, and the Executive Secretary, appointed by decision of the President, shall constitute the Managing Committee.

17.2 The Executive Secretary is in charge of the WSF office and acts according to the President’s instructions. 17.3 The President has the right to appoint persons for special functions. 

Article 18   WORK OF THE PRESIDENT

18.1 Correspondence, Facsimile, Telephone, e-mail messages and appropriate media shall carry out the work of the President.  Meetings of the President should only be carried out in connection with World championship competitions, recognized by the WSF or other WSF events.

18.2 The President may discontinue membership of members failing to pay their fees, if the fee is not paid despite two reminders.

18.3 The President may take disciplinary actions against members, heir officials or competitors who cause harm to the WSF or violate the Statutes or Regulation of the WSF. The punishment shall be either;

18.4.1 a reprimand.

18.4.2 a period, limited in time, where the member will be prohibited to take part in any capacity in international competitions or other events organized or sanctioned by the WSF. 
18.4.3 a period, limited in time, where one or more individuals will be prohibited to take part in any capacity in international competitions or events organized or sanctioned by the WSF. 
Article 19    RULES AND BY-LAWS

19.1 Each member shall be bound by any rules; by-laws or other regulations from time to time made or adopted by the WSF in General meeting or by any Committee.

19.2 The former WSF rules shall be declared not valid as soon as the WSF General meeting has accepted the above standing new WSF statutes.

19.3 In the event that some part of these articles is violating any national laws, that part have to be changed. All other parts of the statutes will be valid as written.
